Terms & Conditions

1. INTERPRETATION
1.1 In these Terms and Conditions the BUYER means the direct purchaser of the goods from the Seller. The TERMS & CONDITIONS means the terms and conditions of sale set out in this document. CONTRACT means the contract for the purchase and sale of goods. GOODS mean any goods or services (including any instalment of goods or any parts of them and the provision of any services), which the Seller is to supply in accordance with the terms and conditions.SELLER means LookC2020 Limited, registered in England under number 06728376, whose registered office is 12 Eastlands, High Heaton, Newcastle upon Tyne, NE7 7YE.
WRITING includes email, facsimile transmission, letter or order form and similar means of communication.

2. BASIS OF THE CONTRACT
2.1 Any estimate or quotation submitted by the Seller is in good faith, but not binding upon the Seller unless subsequently confirmed by the Seller to the Buyer in writing.
2.2 All prices quoted are based on information available at the time of the estimate or quotation. The Seller reserves the right to vary prices at any time, without notice, prior to the date of the relevant invoice and the price payable by the Buyer shall be the price applicable at the date of invoice.
2.3 Any contract made between the Seller and the Buyer incorporates and is subject to the terms and conditions and the delivery of the goods or services to the Buyer is conclusive proof that the Buyer has accepted the conditions to the exclusion of any other terms and conditions and in particular those of the Buyer.
2.4 No variation to these terms and conditions shall be binding unless agreed in writing between the authorised representatives of the Buyer and the Seller prior to the date of the contract.
2.5 The Buyer shall not be entitled to reply on any typographical, clerical or other error or omission in any document on information issued by the Seller, any such error shall be subject to correction without any liability on the part of the Seller.
2.6 The Seller reserves the right in its absolute discretion to make changes in the specification of goods or services which changes are requested to conform to or with any applicable statutory requirements.
2.7 Unless otherwise advised an estimate or quotation will lapse in any event thirty days after its date of issue.

3. PRICES
3.1 Unless otherwise agreed in writing the stated prices are ex-sellers works and expressed in pounds sterling net and exclusive of value added tax and any and all other taxes, levies, import duties and charges of a similar nature and all carriage, insurance, packing and freight charges. Where such prices are based upon a currency other than pounds sterling any fluctuations in the exchange rate of such currency against pounds sterling between the date of the order and the date of the Seller’s invoice which adversely affect the Seller shall be passed on to the Buyer who shall pay the same in accordance with Clause 4.

4. TERMS AND PAYMENTS
4.1 The Seller may invoice the Buyer for the price of the goods and/or services on, or at any time after delivery, unless they are to be collected by the Buyer, or the Buyer wrongfully fails to take delivery of them, in which event the Seller may invoice the Buyer for the price at any time after the Seller has notified the Buyer that they are ready for collection, or (as the case may be) has tendered delivery of them.
4.2 The Buyer shall make payment on demand or no later than 30 days from the date of the invoice or in accordance with a written agreement, notwithstanding that delivery may not have taken place, or property in the goods has not passed to the Buyer. Payment is deemed to be made when the Seller’s bank account is credited with the amount due with cleared funds. The Seller may invoice and apply for payment for each shipment separately.
4.3 The Buyer shall make all payments in full without deduction, set off or counter claim whatsoever from or against the same except as required by law and regardless of any delays in delivery, performance or any corrections or adjustments which may be necessary to the goods and/or services.
4.4 The time for performance of the Buyer’s obligations (whether as to payment or otherwise) shall be the essence so that failure to perform shall entitle the Seller to treat the contract as repudiated by the Buyer or to delay shipment or otherwise withhold performance (in which event the Seller’s time for performance shall be extended accordingly). In the case of delivery by instalments, failure to perform in respect of one shipment shall entitle the Seller, at its option, to cancel or delay or withhold performance in respect of that shipment or other shipments or to treat the whole contract as repudiated by the Buyer.
4.5 The Buyer may cancel the contract in whole (but not in part unless the Seller agrees in writing) by written notice to the Seller accompanied by payment of a cancellation charge calculated as follows:
More than 90 days prior to agreed delivery date: 7.5%
Between 60 days and 90 days prior to agreed delivery date: 20%
Between 30 days and 60 days prior to agreed delivery date: 25%
30 days or less prior to agreed delivery date: 100%
If the goods or services have been described as “Specials” on the estimate or quotation or the written confirmation of the order the cancellation charge shall be 100% of the price regardless of when written notification of cancellation is received and accepted by the Seller.
4.6 If any monies payable by the Buyer to the Seller are not paid when due or if the Buyer is in breach of any of its obligations (whether under the contract or any other agreement with the Seller) or becomes bankrupt, entered into liquidation, has an administration order made in respect of it or suffers the appointment of an receiver to all or any of its assets, the Buyer shall immediately pay to the Seller (whether or not then otherwise due for payment) and without prejudice to any other remedy:

a) The Seller shall have the following rights in respect of the contract and every other agreement with the Buyer:
i) to suspend or cancel the delivery of any further goods or services and any other performance by the Seller (and if suspended the Seller’s time for performance shall be extended accordingly).
ii) to terminate all or any part of the contract and any unexecuted contract with the Buyer.
b) The Buyer shall pay to the Seller by way of full indemnity all costs of any nature incurred by the Seller arising from the breach by the Buyer (including, but not limited to, all legal costs on a full indemnity basis).
4.7 The Buyer shall pay the interest (after as well as before judgement) on any monies payable by the Buyer to the Seller which are not paid when due at annual rate of 3 percentage points above the base rate of HSBC Bank plc from time to time compounded with monthly rests calculated from the date of the due payment until the date of actual payment.
4.8 The Buyer shall indemnify the Seller (after as well as before judgement and on as many occasions as necessary to indemnify fully the Seller) against any loss or expense which the Seller might suffer in the event of any delay in payment or other breach of contract by reason of any change in currency exchange rates between the date payment fell due and the date payment is actually received by the Seller and no proof or evidence of any actual loss shall be required by the Buyer.

5. DELIVERY
5.1 Delivery of the goods or services shall be made by the Buyer collecting the goods or services at the Seller’s premises at any time after the Seller has notified the Buyer that they are ready for collection or, if some other place for delivery is agreed by the Seller, by the Seller delivering them to that place.
5.2 Whilst every effort will be made to adhere to any agreed shipment dates, such dates are not guaranteed and the Seller shall not be liable for any expense, loss or damage arising directly from any delay in shipment or delivery however caused. Late delivery shall not be grounds for rejecting the goods or services o terminating the contract.
5.3 The Buyer shall accept delivery of the goods or services by instalments if the Seller so requests.
5.4 If the Buyer, having been notified the goods or services are ready for despatch or (as the case may be) collection, fails to accept delivery or make collection, or if the delivery programme is varied at the Buyer’s request or if no shipping instructions are provided by the Buyer, the Seller may invoice the Buyer for the stated price of those goods or services (which the Buyer shall pay as though those goods or services had been despatched or collected on the date of notification and may charge the Buyer for storage and insurance and all other expenses incurred by it in respect of those goods and services and risk shall be treated as not having passed to the Buyer from the date of the Seller’s notification.
5.5 If the Buyer fails to accept delivery fourteen days after being notified that the goods or services are ready for despatch, the Seller may, at its option and in addition to the rights, treat this as a cancellation of the order with effect from the date the Seller notified the Buyer that the goods or services were ready for despatch. In these circumstances Clause 4.4 shall apply.
5.6 Where the contract provides for delivery by instalments, delays in delivery or the non-delivery of any instalment shall not entitle the Buyer to terminate the contract or reject any other instalment. Each delivery made by the Seller shall be deemed to be a separate contract.
5.7 The Buyer shall in good time for delivery obtain any necessary import or export licences in respect of the goods or services.

6. FORCE MAJEURE
If the Seller’s ability is limited, delayed or prevented in whole or in part to perform its obligations by any course not reasonably within its control, including without limitation, fire, flood, war, hostilities, riots, civil commotion, labour dispute, lock out, sit in, flood, accident to plant or machinery, shortage of any material, labour, electricity or other supply or by any law, rule, regulation, order or other action of any public authority, transportation delays or the refusal or delay in granting any necessary import or export licence the Seller shall be excused, discharged and released without penalty from performance of the contract to the extent that such performance is so limited, delayed or prevented. If the goods or services or any part thereof has been delivered, the Buyer shall pay to the Seller a proportion of the stated price appropriate to the goods or services, which have been supplied and the amount (if any) of the installation work carried out. If no equipment has been delivered and the contract becomes impossible to perform for reasons not reasonably within the Seller’s control, the Seller’s liability shall be limited to repayment to the Buyer of any relevant monies paid by him to the Seller.

7. RISK AND TITLE
7.1 Risk of damage to or loss of goods and services shall pass to the Buyer.
7.1.1 In the case of goods or services to be delivered at the Seller’s premises at the time when goods or services are collected, or
7.1.2 In the case of goods or services to be delivered otherwise than at the Seller’s premises at the time of delivery, or if the Buyer wrongfully fails to take delivery of goods and services then at the time when the Seller has tendered delivery of goods and services.
7.1.3 Notwithstanding delivery and passing of risk in goods or services or any other provision of the conditions title to goods or services shall not pass to the Buyer until the Seller has received in cash or cleared funds payment in full of both.
7.2.1 The price of the goods and services and
7.2.2 The price of all other goods and services agreed to be sold by the Seller to the Buyer.
7.3 Until such time as title in goods or services passes to the Buyer the Buyer holds goods as the Seller’s fiduciary agent and bailee and keep goods or services separate from those of the Buyer and of any third party and properly stored, protected and insured and separately identified as the Seller’s property. Until that time the Buyer is entitled to resell or use the goods or services in the ordinary course of business but shall account to the Seller for the proceeds of sale or otherwise of the goods or services whether tangible or intangible including insurance proceeds and shall keep all such proceeds separate from monies or property of the Buyer and any third party and in the case of tangible proceeds properly stored, protected and insured.
7.4 Until such time as the title in goods or services passes to the Buyer the Seller shall be entitled at any time to require the Buyer to deliver up the goods or services or (at the Seller’s option) the Seller shall be entitled (and the Buyer hereby irrevocably authorises the Seller) to enter upon any premises of the Buyer or its agents where the goods or services are stored as licensee and repossess any goods or services. In exercising the right to recover goods or services where goods or services are attached or connected to any other goods or services, products, plant or machinery and have not become annexed to any premises or integrated into any other product and are readily removable then the Seller may remove the same upon making good any damage thereby caused.
7.5 In any legal proceedings between the Seller and the Buyer the certificate of the duly authorised representative of the Seller as to which goods or services on the Buyer’s premises where the Seller’s property shall be conclusive evidence of the facts stated herein.

8. WARRANTY
All product warranty applies only to the first customer purchase from the Seller and where the goods or services are covered by a warranty the terms of such warranty shall be deemed to be part of these conditions. The Seller warrants all goods to be free from defects in material and workmanship under normal use provided the goods or services have been operated in accordance with the instruction manual. The commencement date for all warranties is the date of invoice to the Buyer from the Seller. The Seller makes no other warranty expressed or implied with respect to goods or services, their marketability, quality or fitness for any particular use or purpose without prejudice to the general provisions of these conditions no responsibility is assumed for incidental or consequential damages by reason of any warranty expressed or implied.

9. COMPUTER PROGRAMS
Where the goods or services include a computer program the Buyer agrees not to copy or disclose or alter the programs without prior written consent of the Seller and will in all other respects comply with the terms of any licence granted to the Buyer which relates to the use of such computer programs.

10. PRODUCT LIABILITY
10.1 The Buyer shall endeavour to ensure that goods and services are operated in accordance with the instruction manuals supplied with the goods or services and shall provide training to relevant personnel who come into contact with the goods or services.
10.2 The Buyer shall ensure that all warnings displayed on the goods or services or the packaging at the time of delivery, shall not under any circumstances be removed, defaced or otherwise obscured and further the Buyer shall contractually pass such obligations to any third party recipient of the goods or services.
10.3 The Buyer shall indemnify the Seller against any loss suffered as a result of the Buyer being in breach of any part of these terms and conditions.

11. RESPONSIBILITY
The Seller shall not be responsible to the Buyer or any third party claiming through the Buyer, for any damage to any of the Buyer’s property in the possession of the Seller (whether as consignee or otherwise) or for any injury caused to any person by such property by reason of any clause beyond the reasonable control of the Seller.

12. CONFIDENTIALITY
The Buyer shall not at any time impart or (apart for the operation of goods or services) use any confidential information as to methods of manufacture, plans, drawings, price lists, documents or other information relating to the goods or services of the Seller.

13. DELEGATION
The Seller may delegate his obligations under the contract and may assign any of its rights or benefits thereunder.

14. INTERPRETATION
The laws of England shall govern these terms and conditions and any contract and the Seller and the Buyer hereby irrevocably submit to the non-exclusive jurisdiction of the English courts.
